ARTICLE 1 - OPPOSABILITY - PURPOSE
These general terms apply to all operations of the French Gas Association (l'Association Française du Gaz). Any purchase order implies that the customer has consented to these general terms of sale and has relinquished his own general terms. Express and written exception to these terms may be granted by the French Gas Association.
All the guidelines and descriptions made in catalogues, circulars, printed advertisements, etc. are solely provided for informational purposes and do not hold any contractual value.

ARTICLE 2 – PURCHASE ORDERS
Purchase orders are only final when they have been confirmed in writing and signed by the French Gas Association. The customer is finally and wholly bound by the order, notwithstanding any cancellation made by him.

ARTICLE 3 – DELIVERY PERIODS
Time periods for the delivery of services are provided for reference only. They begin upon receipt by the French Gas Association of the order.
Exceeding the delivery period cannot result in claims for damages.

ARTICLE 4 - PRICE
Services are sold at the price that is current at the time of delivery.

ARTICLE 5 – PAYMENT METHODS
The payment of invoices issued by the French Gas Association is made, without discount, by any means of payment within thirty days following the date of issue, in the absence of dates written on the invoice. A discount is applied at the time of order and the balance is paid at the time of delivery. Intermediary invoices may be sent to the customer periodically during the course of the service.

ARTICLE 6 – DELAY OR DEFAULT OF PAYMENT
In the event a payment is delayed, the French Gas Association may suspend all orders in progress without prejudice to taking other action. Any unpaid sum by the agreed deadline shall give rise to statutory rights and without prior formal notice for the payment of late fees equal to one-and-one-half of the legal interest rate on the invoice date. These fees are calculated as of the deadline until full payment has been made.
If the terms of payment grant a discount payable upon order, the delivery will not be made until after the discount has been collected in full.

ARTICLE 7 - LIABILITY
The French Gas Association shall not be held liable under any circumstances for damages resulting from errors, omissions or incorrect information in documents submitted by the customer. The liability of the French Gas Association may only be exercised within the boundaries of the assignment it has been given and its consequences shall not exceed damages of 30% of the price paid for this service.

ARTICLE 8 - COMMUNICATION OF RESULTS
The results of services carried out by the French Gas Association are compiled in documents on the customer’s behalf in a single copy. For an additional fee, translations and certified copies of the documents can be provided for a period of ten years after the original document is issued. In the event of a discrepancy in the translated document, the original document takes precedence.
Only original documents and certified copies are considered legal in dealings with third parties. No modification or alteration may be made to these documents after they are sent. Reproduction of a document issued by the French Gas Association is only authorised in its full version with the disclaimer “copy.”
No written document prior to the final results of the service and issued by the French Gas Association may be sent by the customer to a third party unless with the express and written permission of the French Gas Association.
Any other form of reference to the services of the French Gas Association must be subject to written and prior consent from the French Gas Association.

ARTICLE 9 - CONFIDENTIALITY
The French Gas Association is prohibited from communicating any information concerning the work it is assigned to third parties without prior consent.

ARTICLE 10 – BRAND PROTECTION
The name, logos and brands belonging to the French Gas Association are protected nationally and internationally. Unauthorised use shall be considered infringement and will be subject to legal proceedings.

ARTICLE 11 - LEGISLATION - ASSIGNMENT OF JURISDICTION
The legality, interpretation and execution of this contract is governed by French law.
Any dispute resulting from this contract shall be under the exclusive authority of the French courts in the jurisdiction of Paris where the head offices of the French Gas Association are located, notwithstanding the introduction of third parties or multiple defendants.
